Job Overview:
A growing law firm is seeking a Corporate Transactional Attorney to support its expanding corporate, securities, and M&A practice. The ideal candidate will have 3-4 years of experience in corporate transactions and be capable of working both independently and as part of a collaborative team. This remote position offers the opportunity to handle a broad range of matters, including mergers and acquisitions, private placements of securities, entity formation, and general corporate governance.

Location:

Duties:

  • Provide legal support on a wide variety of corporate transactions, including mergers and acquisitions, private placements, and entity formation.
  • Advise on corporate governance, general contract negotiations, and compliance matters.
  • Assist with structuring corporate entities, LLCs, partnerships, and joint ventures.
  • Offer strategic legal advice to clients on business operations and corporate matters.
  • Work closely with cross-functional teams, providing legal counsel throughout the transaction process.
  • Draft, review, and negotiate contracts, agreements, and other legal documents.
  • Collaborate with senior attorneys on complex corporate matters.

Requirements:

  • 3-4 years of relevant corporate transactional experience.
  • Ability to work independently and collaboratively in a team environment.
  • Strong background in mergers and acquisitions, securities law, and corporate governance.
  • Experience with entity formation and structuring (corporations, LLCs, partnerships).
  • Knowledge of general contract negotiations and drafting.
  • Strong research, writing, and communication skills.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Must be licensed to practice law in the relevant state.
