A law firm in New York City is seeking a Mid-Level Mergers & Acquisitions Associate Attorney to join their team. The ideal candidate will have 4-6 years of experience in M&A, preferably at a large AmLaw 100 law firm. The candidate will support clients in the legal aspects of mergers and acquisitions transactions, including due diligence, drafting, and negotiating agreements. They will collaborate with cross-functional teams to ensure compliance with regulatory requirements and internal policies, and provide strategic legal advice. Superlative drafting skills and attention to detail are essential.

Duties and Responsibilities

  • Support clients in all legal aspects of mergers and acquisitions transactions, including due diligence, drafting, and negotiating agreements.
  • Conduct thorough due diligence on potential merger and acquisition targets, including reviewing financial statements, contracts, and other relevant documents.
  • Draft and negotiate acquisition transactional documents such as merger agreements, asset purchase agreements, and confidentiality agreements.
  • Manage the due diligence process, ensuring all aspects of the transaction are thoroughly reviewed and addressed.
  • Conduct legal research and analysis on complex issues related to mergers and acquisitions.
  • Provide legal advice and guidance to clients on various aspects of M&A transactions.
  • Collaborate with internal and external stakeholders to ensure compliance with applicable laws, regulations, and industry best practices.
  • Assist in the preparation and review of legal documents, including legal opinions, memoranda, and presentations.
  • Stay updated on relevant legal developments and industry trends to offer proactive and strategic legal advice.
  • Demonstrate a strong understanding of industry and evolving market terms.
  • Exhibit exceptional drafting experience and attention to detail in preparing primary and ancillary acquisition transaction documents.

Requirements

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the New York Bar, with membership in good standing.
  • Minimum of 4-6 years of legal experience in mergers and acquisitions, currently working at a large AmLaw 100 law firm.
  • Proven experience representing public and private companies in a variety of transactions, including acquisitions, joint ventures, and corporate governance.
  • Strong academic record with exceptional drafting skills and attention to detail.
  • Demonstrated ability to work within teams and manage parts of transactions independently.
  • Excellent legal research, analysis, and communication skills.
