Job Overview: A law firm in San Francisco, CA, is seeking a skilled and experienced Associate Attorney specializing in Mergers And Acquisitions (M&A) and Private Equity. The successful candidate will provide legal counsel on complex transactions, corporate matters, and regulatory compliance within the scope of M&A and private equity practice areas.

Duties:

  • Conduct due diligence investigations and analysis for M&A transactions.
  • Draft and negotiate transactional documents, including purchase agreements, disclosure schedules, and ancillary agreements.
  • Advise clients on corporate governance matters related to M&A and private equity transactions.
  • Assist in the structuring and execution of financing transactions, including debt and equity offerings.
  • Provide legal support for post-closing integration activities and ongoing corporate matters.

Requirements:

  • 4+ years of experience in mergers and acquisitions, public company reporting, and/or general corporate law.
  • Prior experience in public company transactions is preferred.
  • Admission to the California Bar or eligibility to seek admission.
  • Strong understanding of corporate law principles, securities regulations, and transactional processes.
  • Excellent analytical, communication, and negotiation skills.
  • Ability to work effectively in a fast-paced environment and manage multiple priorities simultaneously.

Education:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Bachelor's degree in a related field (e.g., Business Administration, Finance) is advantageous.

Certifications:

  • Admission to the California Bar or eligibility to seek admission.

Skills:

  • Proficiency in legal research and drafting.
  • Attention to detail and accuracy in document review and analysis.
  • Ability to work collaboratively with internal teams and external clients.
  • Strong organizational and time management skills.
