Job Title: Debt Covenant Review Attorney
Job Location: New York City, NY (Hybrid)

Job Overview:
A well-established law firm is seeking a highly skilled Debt Covenant Review Attorney to join its Restructuring & Special Situations (R&SS) Practice Group. This position focuses on supporting pitch processes and capital structure reviews related to Liability Management transactions. The successful candidate will work alongside partners across R&SS, Banking, and Capital Markets practices to conduct in-depth analyses of credit agreements and indentures for companies requiring restructuring or liability management. This is a hybrid position located in New York City.

Duties:

  • Prepare comprehensive reports summarizing capital and group structures of companies in need of debt or liability management and restructuring.
  • Analyze a company’s ability to raise additional capital, identify areas of potential value leakage, and assess defensive actions by stakeholders.
  • Evaluate potential restructuring processes and implications for director duties.
  • Work with partners to identify and develop innovative liability management structures based on debt documentation.
  • Present findings and investment opportunities to a global range of investors and corporate clients.
  • Contribute ideas to market themes and participate in the development of new strategies.
  • Safeguard sensitive, confidential, and proprietary information at all times.

Requirements:

  • In-depth understanding of leveraged finance, capital markets, and restructuring documentation, particularly incurrence-based covenants in loan and high-yield products.
  • At least 4 years of experience in a law firm, specializing in restructuring, leveraged finance, or capital markets.
  • Familiarity with hybrid capital products, such as convertible bonds.
  • Extensive knowledge of the finance and restructuring industry, with an understanding of cross-border transactions and loan/fund structures.
  • Strong analytical and communication skills.

Education:

  • Juris Doctor (JD) or equivalent degree.

Certifications:

  • New York Bar membership required.

Skills:

  • Expertise in drafting and analyzing legal documents related to debt and restructuring.
  • Ability to work collaboratively with cross-functional teams in a fast-paced environment.
  • Strong problem-solving and critical thinking abilities.
