Associate Attorney for Ann Arbor office

A law firm in Ann Arbor, MI, is seeking an experienced Associate Attorney with 3-6 years of experience in corporate and/or tax transactional matters, ideally with a background in advising or working with non-profit organizations. The ideal candidate will have a strong interest in the non-profit sector and will be responsible for handling various tasks, including drafting organizational documents, advising on corporate governance, negotiating contracts, reviewing mission-related investments, and providing legal research and advice on tax compliance.

Duties:

• Draft organizational documents such as articles of incorporation, bylaws, and policies for non-profit clients
• Advise clients on corporate governance issues and compliance with regulatory requirements
• Negotiate and draft contracts, agreements, and other legal documents on behalf of clients
• Review and analyze mission-related investments and financial transactions
• Conduct legal research and provide advice on tax implications and compliance matters
• Assist non-profit clients with IRS filings and regulatory compliance
• Handle various corporate and tax transactional matters, including mergers, acquisitions, and joint ventures
• Maintain detailed records and documentation of legal transactions and client communications
• Collaborate with senior attorneys and support staff to ensure effective case management and client satisfaction

Requirements:

• 3-6 years of experience in corporate and/or tax transactional law
• Experience working with or advising non-profit organizations preferred
• Strong interest and commitment to the non-profit sector

Education:

• Juris Doctor (JD) from an accredited law school

Certifications:

• Admitted to practice law in the state of Michigan
