Job Overview

Duties

• Manage and lead secured finance transactions involving direct lending and private credit matters

• Draft and negotiate a wide array of transactional documents including term sheets, commitment letters, credit agreements, and security instruments

• Coordinate and supervise the execution of lending deals from inception through closing

• Advise clients on capital structuring for buyouts, refinancings, and recapitalizations

• Engage in transactions involving cross-border financing and debt restructurings when applicable

• Interpret and implement inter-creditor agreements and asset-based lending terms

• Collaborate with partners, clients, and other attorneys to resolve complex legal and business issues

Requirements

• Minimum of 6 years of recent, high-level experience representing direct lenders or private credit funds

• Extensive background in secured lending, leveraged finance, and middle-market transactions

• Exposure to cross-border transactions, restructuring work, and inter-creditor arrangements is advantageous

• Strong transactional drafting and negotiation skills

• Ability to supervise and collaborate within a fast-paced, team-driven legal environment

Education

• Juris Doctor (JD) from an accredited law school

• Demonstrated academic excellence required

Certifications

• Must be a member in good standing of the New York State Bar
