Job Overview

A dynamic law firm is seeking a Mid-level Private Funds Associate to join its fund formation and investment management team within the Corporate Practice. This hybrid role is available in either the Miami or Chicago office and involves supporting private equity, venture capital, and hedge fund managers in the formation and structuring of their investment funds, as well as advising on various investment opportunities. This position is ideal for a motivated individual who thrives in a fast-paced environment and has a keen interest in private fund law.

Duties

  • Assist private equity, venture capital, and hedge fund managers in forming and structuring GP and management company entities.
  • Handle formation and structuring of investment funds and other alternative investment vehicles.
  • Represent investors in side letter negotiations and advise on investment opportunities with third-party managers.
  • Support clients in managing fundraising processes and ensuring compliance with regulatory requirements.
  • Provide legal counsel on day-to-day needs, aligning with business objectives.
  • Draft fund agreements and related documentation, with a focus on fund economics.
  • Advise on tax considerations for entity types and Federal securities laws (’33 Act, ’34 Act, Investment Company Act, Investment Advisers Act) relevant to private funds.

Requirements

  • 4 to 6 years of experience in a large law firm setting, ideally with fund formation and investment adviser work.
  • Strong academic history with excellent written and verbal communication skills.
  • Detail-oriented with a basic understanding of tax perspectives for different entity types.
  • Knowledge of Federal securities laws related to private fund managers.
  • Ability to multi-task, take on responsibility, and work effectively in a fast-paced environment.
  • Admission to practice law in Florida or Illinois, or eligibility for admission.

Education

  • Juris Doctor (JD) degree from an accredited law school.

Certifications

  • Admission to practice law in Florida or Illinois, or eligibility for admission.
