Job Title: Corporate Counsel

Job Location: Berwyn, IL (Remote Option Available)

Job Overview:
A reputable law firm seeks an experienced Corporate Counsel to join its in-house legal team. This position will report directly to the General Counsel and oversee corporate legal matters, including contract negotiations, tax guidance, intellectual property protection, and business litigation. The ideal candidate will have significant experience in corporate law and the ability to manage complex legal issues, as well as work closely with both internal teams and external legal partners.

Duties:

  • Draft and manage corporate entity documents, amendments, and resolutions.
  • Provide legal advice on business terms with external vendors and subsidiaries. Collaborate with the legal team to draft and negotiate various contracts.
  • Advise on corporate governance and tax-related matters, working closely with the finance team and external accountants.
  • Safeguard the firm's intellectual property by managing trademark filings and protection strategies.
  • Conduct legal research on state, federal, and local regulations impacting the firm’s operations, and prepare detailed memorandums.
  • Partner with external counsel in mediation, arbitrations, and court proceedings, protecting the firm’s legal and financial interests.
  • Collaborate with project management teams to support corporate initiatives and ensure legal compliance in strategic projects.

Requirements:

  • At least 5-7 years of professional legal experience, with a minimum of 2-3 years working either in a law firm or in-house legal department.
  • Strong analytical and problem-solving abilities, with a proven track record of assessing complex legal matters and offering actionable advice.
  • Proficient legal research and drafting skills.
  • Ability to understand and navigate legal concepts across various jurisdictions, with the capability to collaborate with local counsel when necessary.
  • Fluency in both English and Spanish is preferred.

Education:

  • Juris Doctor (JD) from an ABA-accredited law school.

Certifications:

  • Admission to at least one State Bar and in good standing.

Skills:

  • Strong written and verbal communication skills.
  • Exceptional attention to detail and organizational skills.
  • Ability to manage multiple projects and prioritize effectively.
  • Proficiency in legal research tools and contract management software.
