A law firm located in Dallas, TX, is actively seeking a dedicated Junior Attorney specializing in Corporate and M&A to support its dynamic team. The ideal candidate will report directly to a Shareholder and play a pivotal role in facilitating mergers and acquisitions, as well as general corporate transactions. This position offers an excellent opportunity for professional growth within a collaborative environment.

Key Responsibilities:

  • Provide comprehensive support in gathering, organizing, and analyzing information to deliver informed legal guidance on the structuring, strategies, drafting, and execution of mergers and acquisitions as well as corporate transactions.
  • Engage in negotiations and draft purchase agreements, including critical clauses that define the rights and responsibilities of all parties involved.
  • Review diligence items and prepare necessary disclosure schedules, exhibits, and ancillary documentation.
  • Collaborate in structuring and finalizing corporate transactions, ensuring compliance and alignment with legal standards.
  • Produce high-quality, meticulous work in a fast-paced, deadline-oriented setting.
  • Support the Firm's lending and corporate finance division by contributing legal expertise in related matters.

Qualifications:

  • Juris Doctor (J.D.) from an accredited law school and active membership in the Texas State Bar.
  • A minimum of 2-4 years of relevant legal experience, with at least 4,000 hours representing entrepreneurial, family office, or private-equity-backed businesses in M&A contexts.
  • Familiarity with common issues and solutions pertinent to M&A transactions, covering aspects of structuring, drafting, negotiating, and closing deals of varying sizes.
  • Demonstrated experience in applying best practices for drafting and refining ancillary legal documents, including but not limited to employment agreements, earnout agreements, seller promissory notes, and corporate governance materials.
  • Basic understanding of financial and accounting principles related to corporate finance, including the ability to work with capitalization table calculations.
