The ideal candidate will have substantial experience representing private equity sponsors and agents in various transactions. Duties:

  • Advise and represent clients in the formation and management of investment funds, including private equity and hedge funds.
  • Handle a broad range of transactions involving private equity sponsors, including fund formation, investments, and exits.
  • Draft and review complex fund formation documents, including partnership agreements, offering memoranda, and subscription agreements.
  • Negotiate and structure investment transactions, including equity investments, acquisitions, and joint ventures.
  • Provide legal counsel on regulatory compliance, fund governance, and risk management issues.
  • Develop creative solutions to complex legal and business issues in fund management and private equity transactions.
  • Collaborate with clients to understand their business objectives and tailor legal strategies to meet their needs.

  • Assist in managing client relationships and maintaining high standards of client service.

Requirements:

  • 4-6 years of experience in investment funds and investment management.
  • Substantive experience representing private equity sponsors and/or agents in a variety of transactions.
  • Excellent analytical and writing skills.

  • Licensed and in good standing in the state of practice.
  • Strong understanding of regulatory requirements and industry best practices.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:
