Mid-Level Private Equity Associate Attorney

Job Overview: A law firm in San Francisco, CA, is seeking a Mid-Level Private Equity Associate Attorney to join their team. The ideal candidate will have a strong background in advising private equity firms and their portfolio companies in complex transactions, including mergers and acquisitions, leveraged buyouts, and general corporate matters. Duties:

• Advise private equity firms and portfolio companies on mergers, acquisitions, and other corporate transactions.
• Draft and negotiate transaction documents, including purchase agreements, shareholder agreements, and financing documents.
• Conduct due diligence reviews and prepare related reports.
• Provide legal support on various corporate governance matters.
• Research legal issues and provide recommendations based on findings.
• Assist in the preparation of SEC filings and compliance matters.

Requirements:

• JD degree from an accredited law school.
• Admitted to practice law in California.
• Minimum of 3 years of experience advising private equity firms and their portfolio companies in complex transactions.
• Experience working at a reputable AmLaw 100 law firm or similar environment.
• Strong analytical and writing skills.
• Excellent organizational skills with attention to detail.
• Demonstrated ability to work collaboratively in a team environment.
• Effective oral and written communication skills.
• Proficiency in conducting legal research and analysis.
• Ability to manage multiple priorities and meet deadlines effectively.

Education and Certifications:

• Juris Doctor (JD) degree from an accredited law school.
