Job Overview: A law firm in San Francisco, CA, is seeking a Mid-Level Private Equity Associate Attorney to join their team. The ideal candidate will have a strong background in advising private equity firms and their portfolio companies in complex transactions, including mergers and acquisitions, leveraged buyouts, and general corporate matters. This role requires exceptional analytical skills, attention to detail, and the ability to work collaboratively and independently.

Duties:

  • Advise private equity firms and portfolio companies on mergers, acquisitions, and other corporate transactions.
  • Draft and negotiate transaction documents, including purchase agreements, shareholder agreements, and financing documents.
  • Conduct due diligence reviews and prepare related reports.
  • Provide legal support on various corporate governance matters.
  • Research legal issues and provide recommendations based on findings.
  • Assist in the preparation of SEC filings and compliance matters.

Requirements:

  • JD degree from an accredited law school.
  • Admitted to practice law in California.
  • Minimum of 3 years of experience advising private equity firms and their portfolio companies in complex transactions.
  • Experience working at a reputable AmLaw 100 law firm or similar environment.
  • Strong analytical and writing skills.
  • Excellent organizational skills with attention to detail.
  • Demonstrated ability to work collaboratively in a team environment.
  • Effective oral and written communication skills.
  • Proficiency in conducting legal research and analysis.
  • Ability to manage multiple priorities and meet deadlines effectively.

Education and Certifications:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the State Bar of California.
