Job Overview:
A law firm seeks an experienced corporate attorney for an Of Counsel position in its Buffalo office. This role offers a reduced administrative workload, allowing attorneys to focus on substantive legal matters without the pressures of client development or excessive billable hour requirements. The ideal candidate will bring a depth of knowledge in corporate and commercial law, assisting clients through various stages of business planning, growth, and compliance.

Duties:

  • Provide legal counsel on corporate governance, compliance, and commercial contract matters.
  • Draft, review, and revise a variety of business agreements, including shareholder agreements, operating agreements, and merger and acquisition contracts.
  • Advise clients on business formation, entity selection, and strategic planning.
  • Support clients through mergers, acquisitions, and succession planning processes.
  • Counsel clients on operational, regulatory, and compliance issues across all stages of business development.
  • Collaborate with other practice areas to deliver integrated solutions tailored to client needs.

Requirements:

  • Minimum of 5 years of experience in corporate and commercial law.
  • Proven ability to handle matters related to mergers and acquisitions, business planning, and general corporate governance.
  • Excellent analytical, drafting, and problem-solving skills.
  • Strong ability to work collaboratively within a team-oriented environment.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Admission to the New York State Bar, with active good standing.

Skills:

  • Strong written and verbal communication abilities.
  • Proficiency in contract negotiation and drafting.
  • Detail-oriented with the ability to handle multiple projects efficiently.
  • Demonstrated expertise in delivering practical and strategic business solutions.
