Job Overview: A distinguished law firm is looking for an associate to join its Financial Institutions team in the Washington, D.C. office. The ideal candidate will have at least 2 years of experience in banking and financial institutions regulatory matters and/or securities law, including M&A. The role requires a strong understanding of federal securities law, securities offerings, and the ability to provide counsel on regulatory matters. This position offers an opportunity to work on sophisticated deals and interact with high-level clients in the financial and banking sectors.

Location:

  • Washington, D.C.

Duties:

  • Advise clients on federal securities law, securities offerings, and bank regulatory laws

  • Support attorneys on various deals, including securities offerings and M&A transactions

  • Draft SEC reports and M&A transaction documents for public and private clients

  • Assist clients with corporate governance issues related to public companies and the banking industry

  • Develop strong client relationships and provide effective counsel on complex financial matters

  • Collaborate with senior attorneys and other team members on multi-faceted legal issues

  • Ensure compliance with applicable federal securities and banking regulations

Requirements:

  • Minimum of 2 years of experience in banking and financial institutions regulatory matters and/or securities law, including M&A

  • Strong knowledge of federal securities law and regulatory requirements for financial institutions

  • Experience in drafting SEC reports and M&A transaction documents

  • Familiarity with corporate governance principles for public companies and the banking industry

  • Demonstrable client relationship management skills

  • Ability to manage complex legal issues in a fast-paced environment

  • Strong interpersonal and communication skills

Education:

  • Juris Doctor (JD) degree from an accredited law school

Certifications:

  • Admission to the D.C. bar is preferred

Skills:

  • Strong analytical, drafting, and communication skills

  • Experience in banking and financial regulations, particularly securities law

  • Ability to work collaboratively within a team and manage client relationships

  • Expertise in handling securities offerings and M&A transactions

  • Familiarity with corporate governance principles

  • Ability to work efficiently under pressure and meet deadlines
