Duties and Responsibilities

  • Draft, negotiate, and review loan, security, intercreditor, and related documents for corporate finance transactions.
  • Advise clients on covenant compliance and other legal aspects of financial agreements.
  • Lead due diligence teams to ensure thorough examination and analysis of financial and legal documentation.
  • Manage and coordinate with specialists, including financial analysts and paralegals, throughout transaction processes.
  • Collaborate with clients, financial institutions, and other stakeholders to facilitate successful transaction closures.
  • Ensure accuracy and compliance in all legal documentation and transaction-related activities.
  • Oversee multiple projects and assignments simultaneously, delivering high-quality results with minimal supervision.
  • Address and resolve complex legal issues related to commercial finance and real estate transactions.

Requirements

  • 4-6 years of experience in corporate finance, with a focus on commercial finance transactions, including loan originations and real estate financings.
  • Proven experience in drafting and negotiating loan, security, and intercreditor documents, and providing advice on covenant compliance.
  • Strong academic credentials, including a JD from an accredited law school.
  • Excellent writing skills with a keen eye for detail.
  • Demonstrated ability to manage multiple assignments and projects independently.
  • Advanced analytical and problem-solving skills.

Education

  • Juris Doctor (JD) degree from an accredited law school.
  • Bachelor’s degree in Finance, Accounting, or a related field preferred.

Certifications

  • Admission to the Colorado Bar (or eligibility to obtain admission).
  • Additional certifications or specialization in finance or commercial transactions preferred but not required.
