Duties:

  • Advise on and manage debt financing transactions, including collateralized fund obligations, rated note feeders, and NAV facilities.
  • Review and analyze private equity fund documents to ensure compliance and address potential issues.
  • Draft and negotiate debt financing documents and ancillary documents.
  • Collaborate with fund sponsors, investors, and other stakeholders to structure and close transactions.
  • Manage transaction processes, coordinating with deal teams and ensuring timely and efficient execution.
  • Stay abreast of industry trends, market developments, and legal updates related to structured finance and capital markets.
  • Provide strategic legal advice to clients, leveraging knowledge of private equity and debt financing.

Requirements:

  • Minimum of 3 years of experience in debt financing solutions for fund sponsors and investors.
  • Demonstrated experience with collateralized fund obligations, rated note feeders, and NAV facilities.
  • Prior experience with private equity fund sponsors or lenders to such sponsors.
  • Knowledge of or strong interest in structured finance and capital markets.
  • Proven ability to review private equity fund documents and draft complex debt financing documents.
  • Experience managing transactions and working effectively within deal teams.
  • Strong analytical, organizational, and communication skills.
  • Ability to work independently and as part of a team in a fast-paced environment.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Admitted to practice law in the relevant jurisdiction (e.g., Washington, DC).

Skills:

  • Expertise in debt financing and structured finance.
  • Proficiency in drafting and negotiating complex legal documents.
  • Strong understanding of private equity and capital markets.
  • Excellent problem-solving and analytical abilities.
