Job Overview:
A prominent law firm is seeking a skilled Senior Project Finance Associate Attorney to join its growing team in Miami. This is a fantastic opportunity to work on complex, high-profile project finance transactions, with exposure to both lender- and borrower-side matters. The ideal candidate will have a strong background in project finance, including experience with a variety of financing structures, such as tax equity bridge loans, pre-NTP financings, and back leverage financings. The role requires a proactive, detail-oriented professional who thrives in a dynamic, fast-paced legal environment.

Duties:

  • Lead and manage complex project finance transactions from inception to completion, including drafting, negotiating, and reviewing credit facilities, performance and payment bonds, and letters of credit.
  • Provide expertise on financing structures such as tax equity bridge loans and back leverage financings, with both borrower- and lender-side experience.
  • Conduct comprehensive bankability analysis of project documents and negotiate key project contracts, including engineering, procurement, and construction contracts (EPC), supply agreements, offtake agreements, and tolling agreements.
  • Independently draft and manage security documents, including security agreements, pledge agreements, financing statements, and control agreements.
  • Prepare and negotiate New York law-governed legal opinions, direct agreements, consents to collateral assignments, and reliance letters.
  • Oversee the due diligence process for project documents and manage all related documentation.
  • Collaborate with clients and colleagues to deliver strategic legal advice and ensure the smooth execution of financing transactions.

Requirements:

  • 4-6 years of experience in project finance, with both lender and borrower-side exposure.
  • Demonstrated experience drafting and negotiating project finance credit agreements, security documents, legal opinions, and project agreements (including EPC contracts, offtake agreements, and supply agreements).
  • Ability to independently manage complex transactions and negotiate legal terms and documents.
  • Proficiency in conducting legal due diligence for project finance matters.
  • Strong work ethic with the ability to work both independently and collaboratively in a high-pressure environment.
  • Detail-oriented with excellent communication skills.

Education:

  • Juris Doctor (JD) degree from an accredited law school.
  • Strong academic credentials required.

Certifications:

  • Must be licensed or able to become licensed to practice law in Florida.

Skills:

  • Exceptional legal research, drafting, and negotiation skills.
  • In-depth understanding of project finance structures and legal frameworks.
  • Strong analytical abilities with a practical approach to problem-solving.
  • Ability to manage multiple projects and priorities efficiently.
  • Excellent written and verbal communication skills.
