Location

Duties

• Counsel pre-IPO and public companies on disclosure, corporate governance, and compliance with SEC and stock exchange requirements
• Assist with capital market transactions, including IPOs, public offerings, and other securities transactions for issuers and underwriters
• Advise clients on corporate matters related to mergers & acquisitions, venture capital, and seed financings
• Manage client relationships and address their day-to-day legal needs
• Collaborate with colleagues to provide comprehensive legal support to clients in the start-up and venture capital ecosystem

Requirements

• 1 to 3 years of experience with IPOs, capital markets transactions, and public company representation
• Familiarity with venture capital financing, mergers & acquisitions, and working with start-ups and emerging growth companies is a plus
• Strong client management skills with a collaborative and team-oriented approach

Education

• Juris Doctor (J.D.) degree, ideally from the graduating classes of 2021 to 2023

Certifications

• Admitted to practice law in California or eligible for admission

• Proficient in corporate governance, SEC compliance, and capital markets law
• Strong analytical, drafting, and communication skills
• Ability to work effectively in a fast-paced and client-focused environment
