A law firm in Washington, D.C. is seeking a Mid-Level Corporate M&A Associate Attorney with 3-4 years of experience at a leading corporate firm. The ideal candidate must be an active member of the Bar in the jurisdiction they will be working, with superior academic credentials, excellent oral, written, and interpersonal skills. Experience with or affinity for technology and/or life sciences companies is considered advantageous.

Duties:

  • Conducting due diligence reviews for M&A transactions.
  • Drafting and negotiating transactional documents, including merger agreements, stock purchase agreements, and ancillary documents.
  • Advising clients on corporate governance matters.
  • Assisting with financing transactions related to M&A deals.
  • Collaborating with cross-functional teams including tax, regulatory, and employment counsel.
  • Managing and coordinating closings and post-closing activities.

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Active Bar membership in the jurisdiction of the office location or eligibility to sit for the next Bar exam.
  • 3-4 years of experience in M&A transactions at a prominent corporate law firm.
  • Strong understanding of corporate law principles and M&A transactional processes.
  • Excellent drafting, negotiation, and analytical skills.
  • Ability to work effectively in a team environment and manage multiple priorities.

Preferred Skills:

  • Experience with technology and/or life sciences sectors.
  • Familiarity with securities laws and regulations.
  • Ability to thrive in a fast-paced and challenging work environment.
