A law firm in Miami, FL, is seeking a Private Equity Corporate Associate Attorney with substantial experience in corporate transactional law. Duties:

  • Advise clients on private equity transactions, including private placements of debt and equity securities, venture capital financing, and strategic joint ventures.
  • Draft, review, and negotiate transaction documents related to mergers and acquisitions, capital markets, and private investment funds.
  • Conduct due diligence for transactions, including analysis of financial statements, business operations, and legal compliance.
  • Provide strategic counsel on corporate governance matters and general corporate issues.
  • Collaborate with clients and internal teams to develop and implement creative solutions for complex legal and business challenges.
  • Maintain up-to-date knowledge of legal developments in the areas of private equity and corporate law.
  • Ensure all legal work adheres to the highest professional and ethical standards.

Requirements:

  • Minimum of 4 years of demonstrated corporate transactional experience in private equity and related areas.
  • Bar admission in good standing in Florida.
  • Proven track record of handling complex mergers and acquisitions, private equity transactions, and venture capital financing.
  • Excellent written and verbal communication skills.
  • Strong client service skills and a team-oriented approach.
  • Ability to work independently and proactively with effective problem-solving capabilities.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Licensed to practice law in Florida.

  • Expertise in mergers and acquisitions, private equity transactions, and related corporate matters.
  • Strong analytical and technical skills for evaluating complex legal and business issues.
