Job Overview: A law firm is seeking a skilled Mid-To-Senior Level Corporate Healthcare Transactional Associate Attorney to join their team. This role offers the opportunity to work alongside a group of talented attorneys providing strategic legal guidance to some of the most dynamic and innovative healthcare clients in the country. The successful candidate will handle a variety of complex transactions, including mergers and acquisitions, asset and equity acquisition deals, venture capital, and private equity investments, as well as joint ventures. The associate will also assist clients with corporate formation, operational strategy, and day-to-day legal matters.

Key Responsibilities:

  • Work closely with a team of attorneys to provide legal counsel to healthcare clients, helping them achieve business objectives.
  • Advise clients on a wide range of healthcare-related transactions, including mergers and acquisitions, asset and equity acquisitions, and joint ventures.
  • Handle venture capital and private equity investments, including deal structuring, negotiations, and documentation.
  • Assist with corporate formation and capital raises, providing strategic legal advice on organizational workflow and operational matters.
  • Negotiate contracts and manage other day-to-day corporate issues for clients.
  • Collaborate with clients directly to understand their business needs, offering tailored legal advice and representation.
  • Manage projects, ensuring timelines and legal standards are met while communicating progress with clients and third-party advisors.

Requirements:

  • 4-6 years of experience in mergers and acquisitions, private equity, or related transactional work, particularly in the healthcare sector.
  • Strong understanding of corporate law, healthcare regulations, and transactional processes.
  • Ability to work independently and as part of a collaborative legal team.
  • Excellent oral communication, writing, and research skills.
  • Proven analytical and problem-solving skills, with the ability to develop legal strategies and provide actionable advice.
  • Demonstrated ability to take ownership of projects and manage relationships with clients and external advisors.

Education and Certifications:

  • Juris Doctor (J.D.) from an accredited law school with outstanding academic credentials.
  • Admission to the District of Columbia (DC) Bar is required.

Preferred Skills:

  • Experience working with healthcare clients or in the healthcare sector.
  • Strong negotiation and contract drafting abilities.
  • Ability to manage multiple transactions simultaneously and meet deadlines in a fast-paced environment.
