A law firm in Charlotte, NC, is seeking a skilled Corporate Funds and Private Equity Associate Attorney. The ideal candidate will possess 4-6 years of experience in investment funds and investment management, with substantial experience representing private equity sponsors and/or agents in a diverse range of transactions. The role requires a creative, solutions-oriented approach and strong analytical and writing skills. Candidates must be licensed and in good standing in the state of North Carolina.

Duties and Responsibilities:

  • Provide legal counsel on investment funds, including private equity, hedge funds, and venture capital funds.
  • Represent private equity sponsors and agents in transactions such as fund formation, capital raising, and investment structuring.
  • Draft, negotiate, and review complex legal documents, including limited partnership agreements, subscription agreements, and offering memoranda.
  • Conduct thorough legal research and prepare detailed reports, memoranda, and other legal documentation.
  • Assist in structuring and negotiating various investment transactions, including joint ventures, mergers and acquisitions, and strategic investments.
  • Advise clients on compliance with securities laws and regulations pertinent to investment funds and private equity.
  • Collaborate with colleagues to develop and execute effective legal strategies for clients.
  • Stay informed about legal and regulatory developments in investment funds and private equity to provide current and relevant advice.

Requirements:

  • 4-6 years of experience in investment funds and investment management.
  • Substantive experience representing private equity sponsors and/or agents across a broad range of transactions.
  • Ability to handle complex legal issues related to investment funds and private equity.
  • Creative, solutions-oriented mindset with strong analytical and problem-solving skills.
  • Excellent writing and communication skills.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Licensed and in good standing to practice law in the state of North Carolina.

Skills:

  • Expertise in investment funds and private equity law.
  • Advanced drafting and negotiation skills for complex legal documents.
  • Strong analytical capabilities and meticulous attention to detail.
  • Proficiency with legal research tools and case management software.
