Job Overview:

A law firm based in Houston, TX, is seeking a Junior/Mid-Level Finance Attorney with 4-6 years of experience to join their team. The ideal candidate will have a solid background in representing commercial banks, private credit lenders, private equity and corporate borrowers, and investors in various debt financing and hybrid investment transactions. This role involves working on senior-secured, junior-secured, and mezzanine loans, acquisition financings, and other structured financings and investments.

Duties:

  • Represent commercial banks, private credit lenders, private equity and corporate borrowers, and investors in debt financing transactions.
  • Draft, review, and negotiate loan agreements, security agreements, and other related documentation.
  • Advise clients on structuring and executing senior-secured, junior-secured, and mezzanine loan transactions.
  • Assist in structuring and negotiating acquisition financings and other complex financing arrangements.
  • Conduct legal research and provide strategic guidance on regulatory and compliance issues related to debt financing.
  • Manage and coordinate due diligence processes for financing transactions.
  • Collaborate with clients and other stakeholders to resolve legal and transactional issues.
  • Prepare detailed reports and presentations for clients and internal stakeholders.

Requirements:

  • 4-6 years of relevant legal experience in finance law, focusing on debt financing and investment transactions.
  • Proven experience representing commercial banks, private credit lenders, private equity firms, corporate borrowers, and investors.
  • Demonstrated expertise in senior-secured, junior-secured, and mezzanine loans, acquisition financings, and other structured transactions.
  • Strong understanding of financial regulations and compliance requirements.

Education:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admitted to practice law in Texas or eligible for admission.

Certifications:

  • Bar membership in Texas.

Skills:

  • Excellent legal research and analytical skills.
  • Strong drafting and negotiation abilities.
  • Effective communication and interpersonal skills.
  • Ability to manage multiple complex transactions simultaneously.
  • High attention to detail and organizational skills.
  • Proficiency in legal research tools and technology.
