Job Overview:

A law firm is seeking a Mid-level Tax Associate Attorney to join their team in Pittsburgh, PA. The successful candidate will work closely with experienced lawyers who will provide active mentoring and opportunities to assume increasing levels of responsibility and client contact. The ideal candidate will have 3-5 years of experience in transactional tax matters, with a preference for experience in private equity transactions.

Duties:

  • Draft, review, and negotiate tax provisions in:
    • Merger agreements
    • Stock purchase agreements
    • Asset purchase agreements
    • Related agreements
  • Draft and review partnership, joint venture, and limited liability company agreements
  • Handle tax aspects of equity and debt financing transactions
  • Collaborate with team members to provide the highest quality client service
  • Work independently and as part of a team on various transactional tax matters

Requirements:

  • 3-5 years of experience in transactional tax matters
  • Experience with private equity transactions preferred
  • Strong academic credentials
  • Excellent communication skills
  • Self-starter with the ability to work both independently and collaboratively
  • Commitment to providing the highest quality client service

Education:

  • J.D. degree from an accredited law school
  • LL.M. in Taxation strongly preferred

Certifications:

  • Admission to the State Bar in Pennsylvania or eligibility for admission
