Prior governmental or transactional experience is highly valued, with an emphasis on New Jersey-specific regulations and finance laws.Job Responsibilities:Advise municipalities, school districts, and other governmental entities on the structuring, issuance, and management of general obligation bonds and other public finance matters.Provide legal counsel on New Jersey municipal bonds, school district bonds, and related public finance transactions.Draft and review legal documentation for bond issuances, including offering documents, bond purchase agreements, resolutions, and disclosure documents.Collaborate with public officials, bond underwriters, and financial advisors to ensure compliance with state and federal regulations governing public finance, including IRS and SEC rules.Assist in the preparation of legal opinions on tax-exempt bond issuances and ensure that all tax requirements are met.Provide guidance on compliance with New Jersey state laws, including the Local Bond Law, School Bond Law, and other applicable regulations.Represent clients in municipal finance matters, including attending meetings with local governments, boards of education, and other public entities.Stay updated on changes in public finance regulations and ensure that clients are in compliance with both state and federal guidelines.Assist in negotiating and drafting agreements related to bond financing, including contracts with underwriters, trustees, and other financial institutions.Offer advice on ongoing disclosure requirements, continuing disclosure agreements, and other regulatory obligations post-issuance.Requirements:Experience with New Jersey municipal and school general obligation bonds is preferred.Prior governmental or transactional experience in public finance is highly beneficial.Strong understanding of New Jersey state laws related to public finance, including Local Bond Law and School Bond Law.Excellent oral and written communication skills, with the ability to explain complex legal and financial matters to public officials and clients.Strong organizational skills with the ability to manage multiple transactions and meet deadlines.Time management and project management skills, ensuring that all bond issuances and public finance matters are handled efficiently and accurately.Ability to work collaboratively with public officials, underwriters, and other financial professionals to ensure successful bond transactions.Education:Juris Doctor (JD) degree from an accredited law school.Admission to the New Jersey State Bar or eligibility to obtain admission.Certifications (Preferred):Municipal Finance Certification or other relevant certifications in public finance or government law are beneficial but not required.Key Skills:Expertise in New Jersey public finance law, particularly related to municipal and school bonds.Strong background in governmental or transactional law, with experience in public finance transactions.Knowledge of state and federal regulations governing bond issuances, including IRS and SEC compliance requirements.Ability to draft and review legal documents related to bond offerings and public finance transactions.Strong interpersonal skills and the ability to work with public entities, municipalities, and school boards.Negotiation skills to facilitate successful bond issuances and financing agreements.This position offers an exciting opportunity for a legal professional with experience in public finance to join a reputable law firm in Cranford, NJ, providing critical legal support for municipal and school bond transactions.
