Finance Partner

A law firm seeks an accomplished Finance Partner to join its Corporate and Finance practice group in Rochester, NY. This role is designed for a transactional banking and finance attorney with a proven track record in commercial finance transactions, looking to take their business development success to the next level within a collaborative, client-driven environment.

Duties:

• Advise and represent a broad range of clients, including lenders, borrowers, sponsors, and institutional investors, on complex commercial finance transactions.
• Lead and manage secured and unsecured financing transactions, such as asset-based finance, cash flow finance, senior and subordinated debt, mezzanine finance, and leveraged acquisition finance.
• Provide legal support on structured finance, private credit, and direct lending matters.
• Draft, review, and negotiate essential finance-related legal documents, including loan agreements, inter-creditor agreements, and opinion letters.
• Collaborate across various practice areas to deliver comprehensive and strategic legal solutions for client needs.

Requirements:

• A minimum of 10 years of experience in commercial finance law.
• Expertise in negotiating, structuring, and documenting secured and unsecured financing transactions.
• In-depth knowledge of commercial mortgage transactions, leveraged acquisitions, asset-based finance, and cross-border finance.
• Experience working with a wide range of financial institutions, including multistate and community banks, non-traditional lenders, and servicers.
• Proven ability to provide legal advice to lending, finance, and investment clients on complex financial matters.

Education:

• Juris Doctor (J.D.) from an accredited law school.

Certifications:

• Licensed to practice law in New York or eligible for admission.
