Job Overview: A law firm in Austin, TX, is seeking a skilled Mid-Senior Level Capital Markets Associate Attorney with substantial experience in public and private equity offerings, SEC compliance, and corporate governance matters. The ideal candidate will be adept at advising clients on a wide range of capital markets transactions and regulatory requirements.

Job Duties:

  • Advise clients on public and private equity offerings, including initial public offerings (IPOs) and follow-on offerings.
  • Draft and review proxy statements, S-4 registration statements, and other SEC filings related to business combination transactions.
  • Provide counsel on ongoing reporting obligations under the Securities Exchange Act of 1934, including 10-Ks, 10-Qs, 8-Ks, and proxy statements.
  • Handle day-to-day corporate governance matters for public companies.
  • Represent both issuers and underwriters in capital markets transactions.
  • Collaborate with regulatory agencies and ensure compliance with securities laws and regulations.

Requirements:

  • Juris Doctor (J.D.) from an accredited law school.
  • Admission to the State Bar in Texas or eligibility for admission via reciprocity.
  • 4+ years of experience practicing capital markets law in a law firm setting.
  • Proven track record in handling public and private equity offerings, SEC filings, and corporate governance issues.
  • Experience advising clients on Securities Exchange Act compliance and reporting requirements.
  • Strong drafting and negotiation skills with attention to detail.
  • Excellent communication and client management skills.

Preferred Skills:

  • Experience with SPACs (Special Purpose Acquisition Companies) and REITs (Real Estate Investment Trusts).
  • Familiarity with debt offerings and related regulatory frameworks.
