A law firm seeks a Mergers & Acquisitions Resource Attorney to support the efficiency and expertise of its M&A practice. This role focuses on enhancing the performance of the legal team by managing and maintaining resources, creating educational content, and staying ahead of legal developments. As a resource attorney, you will not work directly with clients but instead support the firm’s attorneys in executing M&A transactions, legal updates, and training initiatives.

Duties

  • Transaction Database Management:

    • Input deal terms from signed M&A transactions into the firm’s transaction database.
    • Collaborate with the knowledge management team to audit and maintain this resource.
  • Form and Precedent Management:

    • Draft and revise template documents, managing and organizing the firm’s M&A precedents, forms, and other legal materials.
  • Legal Updates:

    • Monitor legal and regulatory changes relevant to M&A practice.
    • Prepare summaries and alerts, and ensure new legal requirements are integrated into practice resources.
  • Legal Education:

    • Partner with the legal education team to develop and brainstorm content for associate training and firm-wide educational efforts related to M&A.
  • Marketing and Business Development:

    • Work closely with the M&A marketing team to assist in promoting the firm's M&A practice.
    • Support the creation of content for pitches, blog posts, articles, presentations, and other marketing materials.
  • Individual Attorney Requests:

    • Assist attorneys with day-to-day requests for precedents, templates, and resources.
  • New Initiatives:

    • Participate in knowledge management and practice innovation projects as needed.
  • Other Duties:

    • Perform additional tasks as assigned.

Requirements

  • A licensed attorney with at least 7 years of experience in M&A, corporate law, or transactional practice.
  • Familiarity with both public and private M&A transactions, corporate governance, and board fiduciary duties.
  • Strong drafting and organizational skills.
  • Proven ability to manage multiple projects simultaneously.
  • Ability to collaborate effectively with a team, especially with senior attorneys and staff.

Education

  • J.D. from an accredited law school.

Certifications

  • Active attorney license in at least one U.S. jurisdiction.
