A law firm seeks a mid-level Corporate Associate with a focus on mergers and acquisitions to join its dynamic team in Los Angeles, CA. Duties:

  • Lead and manage M&A transactions, including drafting primary deal documents, conducting due diligence, and managing the overall deal process.
  • Coordinate efforts with internal teams and external stakeholders, including clients and specialists.
  • Supervise and mentor junior associates, providing guidance and oversight on various aspects of transactions.
  • Draft, review, and negotiate key corporate documents, including purchase agreements, disclosure schedules, and ancillary agreements.
  • Maintain client relationships by providing strategic advice and effective communication on transaction-related matters.
  • Participate in business development and practice-building efforts by helping to develop client relationships and identify new opportunities.

Requirements:

  • 4-6 years of experience in general corporate law, with a specific emphasis on mergers and acquisitions.
  • Strong academic background and proven ability to handle complex legal matters.
  • Experience drafting and managing M&A transactions, including primary deal documents and diligence processes.
  • Capable of taking significant responsibility for client interactions, deal management, and the delivery of high-quality work products.
  • Excellent communication skills, both written and verbal, with the ability to explain complex legal concepts in clear terms.
  • Ability to work collaboratively in a fast-paced, team-oriented environment while managing multiple tasks.

Education:

  • J.D. from a nationally recognized law school.
  • Strong academic credentials, ideally ranking in the top 10% of the class.

Certifications:

  • Admission to the State Bar of California, or eligibility for admission if currently pending.

Skills:

  • Expertise in M&A transactions and corporate law.
  • High-level drafting and negotiation skills.
  • Strong analytical and problem-solving abilities.
  • Excellent organizational and project management skills.
  • Ability to work independently and as part of a cohesive team.
  • Comfortable working directly with clients and managing client relationships.
