Capital Markets / Securities Associate

Job Overview:
A distinguished law firm is seeking a Capital Markets/Securities Associate to join its Charlotte office. This role involves working closely with senior leadership of both public and private issuer clients, as well as investor clients, on a diverse range of securities offerings and compliance matters. The position offers a dynamic environment for handling high-level securities regulation, corporate governance, and business matters.

Location:

• Charlotte, North Carolina

Duties:

• Collaborate with senior leadership on securities offerings and compliance
• Manage SEC reporting and public/private offerings of securities
• Handle securities regulation issues and corporate governance
• Advise clients on regulatory compliance and SEC reporting, including proxy statements and quarterly/annual reports
• Assist with capital markets transactions such as registered and Rule 144A/Reg S offerings, convertible debt offerings, PIPE transactions, and initial public offerings

Requirements:

• 2-3 years of experience in a large law firm with a public company reporting or capital markets practice
• Excellent academic record
• Strong communication skills

Preferred Experience:

• Advising clients in capital markets transactions (investment grade and high-yield debt, equity offerings, private placements)
• Experience with SEC reporting, including NYSE and Nasdaq rules

Education:

• Juris Doctor (JD) degree or equivalent

Certifications:

• Admission to the North Carolina State Bar (preferred)

• Strong analytical and legal research skills
• Proficiency in handling complex securities and capital markets matters
• Effective communication and interpersonal skills
