A law firm seeks an experienced Of Counsel - Transactional Franchise Attorney to join its team in Reston, VA, with flexible options for remote work. This role requires a seasoned attorney with a strong foundation in U.S. franchise regulations, capable of drafting franchise agreements and ensuring regulatory compliance. The position involves advising clients on complex business transactions in the franchise sector, serving a diverse range of clients, both domestic and international.

Duties:

  • Draft and review franchise agreements, franchise disclosure documents, and other essential regulatory filings.
  • Provide strategic guidance on complex transactions within franchise and distribution law.
  • Advise clients on compliance with U.S. franchising regulations, covering both domestic and international matters.
  • Collaborate with attorneys on franchise-related litigation and transactional work.
  • Serve clients from various backgrounds, including new franchisors, established brands, private equity firms, and international businesses expanding into the U.S.

Requirements:

  • Minimum of 8 years’ experience in transactional franchise law.
  • Extensive knowledge of U.S. franchise regulations; international franchising or M&A experience is a plus.
  • Admission to practice law in Virginia or eligibility for admission via waiver.
  • Strong analytical, drafting, and communication skills.
  • Ability to work independently and collaboratively within a team.

Education:

  • Juris Doctor (J.D.) degree from an accredited law school.

Certifications:

  • Active membership in good standing with the Virginia State Bar or eligibility for admission.
