The role focuses on reviewing, drafting, and negotiating contracts for commercial transactions, including supply, purchase, service, and transportation agreements. The ideal candidate will possess a strong business background, a keen ability to quickly grasp business concepts, and the interpersonal skills to work closely with clients. Extensive client interaction and the delivery of pragmatic, business-focused counsel are key aspects of this role.

Duties and Responsibilities:

  • Review, draft, and negotiate key commercial agreements, including supply, purchase, service, and transportation contracts.
  • Provide legal advice on various corporate and commercial projects.
  • Ensure compliance with corporate policies and relevant regulations in contract negotiations.
  • Act as a legal advisor in commercial transactions, including mergers and acquisitions (M&A).
  • Engage in extensive client contact, providing practical and business-oriented legal advice.
  • Collaborate with cross-functional teams to support corporate initiatives and transactions.
  • Assist in corporate governance matters as needed.
  • Conduct legal research to stay updated on corporate law and regulatory trends.
  • Handle risk assessment and mitigation in commercial agreements and transactions.

Requirements:

  • Minimum of 7+ years of corporate transactional experience, with a focus on commercial contracts (M&A experience is a plus).
  • Business acumen and the ability to understand and integrate business concepts into legal advice.
  • Experience in drafting and negotiating commercial agreements, including supply chain and service contracts.
  • Strong communication skills, both written and verbal, with the ability to convey legal concepts clearly to non-legal audiences.
  • Ability to handle multiple projects and deadlines in a fast-paced environment.
  • Proactive problem-solving abilities and willingness to ask questions and learn.
  • Strong interpersonal skills, with a client-first approach to legal practice.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Admission to the North Carolina State Bar preferred (or eligibility for admission).

Skills:

  • Expertise in corporate transactional law, including commercial agreements and M&A.
  • Strong attention to detail and contract drafting skills.
