Job Overview:
A law firm is seeking a Finance and Restructuring Associate to join its Finance & Restructuring practice group. The ideal candidate will have experience in corporate finance, working with financial institutions and borrowers, including loan originations, real estate financings, and drafting loan and security documents. The role is hybrid, offering flexibility for remote work and in-office collaboration.

Location:

  • San Francisco, CA

Duties:

  • Manage and assist in corporate finance transactions, including loan originations and real estate financings
  • Draft loan agreements, security documents, intercreditor agreements, and other related documents
  • Advise clients on covenant compliance and assist in structuring financial transactions
  • Lead due diligence teams and manage specialists
  • Draft and review legal documents with minimal supervision
  • Provide legal counsel to financial institutions, borrowers, and private credit clients
  • Manage multiple assignments effectively while ensuring high-quality deliverables

Requirements:

  • 3 to 6 years of experience in corporate finance, including commercial finance transactions
  • Experience working with financial institutions and borrowers in loan originations and real estate financings
  • Strong experience in drafting loan, security, and intercreditor documents
  • Demonstrated ability to advise clients on covenant compliance
  • Proven ability to lead due diligence teams and manage specialists
  • Ability to manage multiple assignments with minimal supervision
  • Strong academic background

Education:

  • J.D. from an accredited law school

Certifications:

  • Admission to the state bar of the relevant jurisdiction where the position is located

Skills:

  • Excellent legal writing skills
  • Strong attention to detail and organizational skills
  • Ability to manage complex assignments with minimal supervision
  • Strong interpersonal and communication skills
  • Ability to work effectively in a hybrid, team-oriented environment
