Job Overview: A leading law firm is seeking a highly skilled and experienced Commercial Mortgage-Backed Securities (CMBS) Associate to join its Global Finance group in Boston. The firm’s practice focuses on representing issuers, underwriters, servicers, and investors in the commercial real estate (CRE) securitization and CMBS marketplace. The successful candidate will have the opportunity to work on a wide variety of complex transactions while contributing to one of the top-ranked practices in the industry.

Location: Boston, MA

Duties:

  • Draft and negotiate bid letters, confidentiality agreements, and securitization disclosure documents.
  • Prepare operative documents, including pooling and servicing agreements, mortgage loan purchase agreements, and investor certifications.
  • Work with commercial real estate repurchase facilities and warehouse lending transactions.
  • Play an integral role in deal teams, managing key aspects of transactions from due diligence through closing.
  • Provide legal advice to clients on complex CMBS and CRE securitization matters.

Requirements:

  • 3 to 6 years of experience in securitization, specifically in CMBS and CRE.
  • Hands-on experience in the preparation of key securitization documents.
  • Ability to manage multiple aspects of transactions from due diligence to closing.
  • Large law firm experience is strongly preferred.
  • Excellent communication, negotiation, and organizational skills.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Active license to practice law in the relevant jurisdiction (Massachusetts preferred).

Skills:

  • Expertise in commercial mortgage-backed securities (CMBS) and CRE securitization.
  • Strong drafting, negotiation, and legal research abilities.
  • Proven ability to manage complex transactions and contribute to team success.
  • Detail-oriented with excellent problem-solving and communication skills.
