Duties:

  • Assist in executing secondary fund transactions, including due diligence, drafting transaction documents, and managing closing processes.
  • Coordinate and manage the transfer process for large investment fund portfolios.
  • Conduct legal research and analysis related to asset management and investment fund regulations.
  • Communicate effectively with clients, counterparties, and internal teams to facilitate smooth transaction processes.
  • Draft and review contracts, agreements, and other legal documents related to asset management transactions.
  • Provide support and assistance to senior attorneys in complex asset management matters.

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the New York State Bar (active and in good standing).
  • Experience in asset management, investment funds, or corporate transactional law preferred.
  • Proven experience handling transactional matters related to secondary fund transactions is highly desirable.
  • Strong organizational skills with the ability to effectively manage multiple priorities and deadlines.
  • Excellent written and verbal communication skills.
  • Detail-oriented with a high level of accuracy in work product.
  • Ability to work both independently and collaboratively within a team environment.

Certifications (Preferred):

  • Certification in Securities Regulation or related field.

Skills:

  • Proficiency in legal research tools and databases.
  • Ability to analyze complex legal issues and provide practical solutions.
  • Strong interpersonal skills and building effective relationships with clients and colleagues.
  • Proficiency in Microsoft Office Suite (Word, Excel, Outlook, PowerPoint).
