Duties:

  • Manage and execute mergers and acquisitions (M&A) transactions, ensuring efficient legal support throughout the process.
  • Draft and negotiate key transaction documents, including purchase agreements, disclosure schedules, and shareholder agreements.
  • Conduct due diligence, identifying and addressing key legal issues during the transaction process.
  • Provide legal guidance on M&A-related matters to clients, advising on risk management and strategic opportunities.
  • Collaborate with senior associates and partners on large, complex transactions.
  • Build and maintain strong client relationships, offering tailored legal advice to meet client needs.
  • Stay up-to-date with developments in M&A law and market trends, applying knowledge to client matters.

Requirements:

  • 3-5 years of experience in M&A law, gained from a reputable corporate law firm.
  • Strong experience in drafting and negotiating transaction documents.
  • Excellent communication skills, with the ability to explain complex legal concepts to clients and colleagues.
  • Strong organizational and project management abilities.
  • Ability to manage multiple responsibilities in a fast-paced environment.
  • A team-oriented approach to work, with a high level of client service and professionalism.

Education:

  • J.D. from an accredited law school.

Certifications:

  • Active bar membership in the jurisdiction where the candidate will practice, or eligibility to sit for the next bar exam.
