A law firm based in New Bern, NC is seeking a seasoned Transactional Attorney with 5+ years of experience to join their team. The ideal candidate will be licensed in North Carolina and possess expertise in transactional law, including mergers and acquisitions (M&A) and entity formation and reorganization. Experience in commercial real estate and transactional tax law is highly desirable. The role requires managing large transactions independently, direct client interaction, and hands-on involvement in legal matters.

Duties and Responsibilities:

  • Manage and oversee large transactional matters, including mergers and acquisitions (M&A) and entity formation and reorganization, without requiring oversight.
  • Handle direct, hands-on client interaction, ensuring clear communication and effective management of client expectations.
  • Prepare, draft, review, and negotiate legal documents, including sale/purchase agreements and ancillary documents.
  • Advise clients on transactional and corporate legal matters, providing strategic guidance and solutions.
  • Delegate tasks to staff and other attorneys as necessary, ensuring efficient case management.
  • Ensure compliance with all legal standards, applicable laws, regulations, and company policies.
  • Maintain accurate timekeeping and adhere to prompt billing practices.
  • Develop and maintain a mobile book of business, if applicable.

Requirements:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Active license to practice law in North Carolina.
  • 5+ years of experience in transactional law, including M&A and entity formation and reorganization.
  • Experience in commercial real estate and knowledge of transactional tax law is ideal.
  • Proven ability to manage large transactions independently.
  • Direct experience with client interaction and managing client expectations.

Education and Certifications:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Admission to the North Carolina Bar.

Skills:

  • Expertise in transactional law, including M&A and entity formation and reorganization.
  • Strong experience in commercial real estate and transactional tax law.
  • Excellent writing and communication skills.
