Job Overview:

The Corporate Associate Attorney will be responsible for providing legal support and counsel to clients on various corporate matters, including mergers and acquisitions, securities offerings, and general corporate governance matters.

 

Duties:

  • Conduct legal research and analysis on corporate legal issues.
  • Draft and review legal documents, including agreements, contracts, and corporate governance documents.
  • Participate in due diligence reviews for M&A transactions.
  • Assist in negotiating and structuring corporate transactions.
  • Provide legal advice and counsel to clients on corporate matters.

 

Requirements:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Bar admission in the state of California.
  • Minimum of 3 years of solid corporate transactional, M&A, and securities law experience.
  • Excellent written and verbal communication skills.
  • Strong analytical and problem-solving abilities.
  • Ability to work independently and as part of a team in a fast-paced environment.
  • Detail-oriented with excellent organizational skills.

 

Education:

Juris Doctor (J.D.) degree from an accredited law school.

 

Certifications:

Bar admission in the state of California.

 

Skills:

  • Proficiency in corporate transactional, M&A, and securities law.
  • Legal research and writing skills.
  • Negotiation and drafting skills.
  • Ability to manage multiple tasks and deadlines effectively.
  • Strong interpersonal skills for client interaction and collaboration with colleagues.
