A law firm seeks a talented Corporate Associate to join its Public Companies & Governance team in Minneapolis, MN. This position offers an exciting opportunity for a professional with experience in advising public companies on securities compliance, corporate governance, and other related matters. The successful candidate will have the chance to work closely with a team of professionals to address securities law issues, corporate crises, executive succession, and shareholder activism while supporting various governance transactions for a diverse client base, ranging from emerging growth companies to large, publicly traded corporations.

Duties

  • Advise public companies on securities law compliance, including financial reporting and matters under the Securities Exchange Act of 1934.
  • Provide counsel on corporate governance issues, helping companies navigate shareholder proposals, executive succession planning, corporate crises, and shareholder activism.
  • Support significant governance transactions, ensuring compliance with legal and regulatory requirements.
  • Collaborate with internal teams to handle day-to-day securities law counseling for public companies.
  • Assist in the preparation and filing of corporate documents, including SEC filings, proxy statements, and other required disclosures.
  • Offer guidance on corporate structure, mergers, acquisitions, and other business transactions from a securities and governance perspective.
  • Maintain up-to-date knowledge of evolving corporate governance regulations and securities compliance requirements.
  • Build strong, long-term client relationships through responsive and effective legal counsel.

Requirements

  • 4-5 years of experience advising public companies on securities compliance, corporate governance, and related legal matters.
  • Expertise in securities law compliance and disclosure, with experience handling various governance matters.
  • Prior experience with executive succession, shareholder proposals, and activism is preferred.
  • Familiarity with general corporate matters, including securities offerings, mergers, and acquisitions.
  • Experience in an in-house legal role is a plus.
  • Excellent academic credentials and a commitment to continuous learning in the areas of corporate governance and securities law.
  • Strong written and verbal communication skills, with the ability to effectively communicate complex legal concepts to clients.
  • A collaborative and responsive approach to working in a team-oriented environment.

Education

  • Juris Doctor (JD) from an accredited law school.

Certifications

  • Admission to the state bar (Minnesota or ability to waive in).

Skills

  • In-depth understanding of securities law, corporate governance principles, and SEC compliance.
  • Experience drafting and reviewing securities filings, including 10-Ks, 10-Qs, and proxy statements.
  • Strong problem-solving abilities with the capacity to address complex legal and business issues.
  • Exceptional attention to detail, particularly in legal documentation and regulatory filings.
  • Ability to manage multiple priorities and deadlines in a fast-paced environment.
  • Proactive and strategic thinking when advising clients on corporate governance and compliance matters.
