Job Overview:
A law firm is seeking a Project Development/Finance Associate Attorney with 3-6 years of experience to join its Houston, TX office. The ideal candidate will have substantial involvement in mergers & acquisitions (M&A), financing transactions, debt finance, and renewable energy transactions. This role requires a future-focused, service-oriented, and collaborative individual who is committed to excellence and diversity. The candidate must have stellar academic credentials and experience in a comparable law firm environment.

Key Responsibilities:

  • Provide legal counsel and support for project development and finance matters, including structuring, negotiating, and closing transactions.
  • Assist clients with M&A transactions, particularly those related to renewable energy and infrastructure projects.
  • Advise on debt finance and related financial transactions, ensuring compliance with applicable laws and regulations.
  • Draft and review a variety of legal documents, including contracts, agreements, and financial instruments.
  • Collaborate with cross-functional teams and clients to drive project success and ensure timely delivery of legal solutions.
  • Conduct legal research and stay updated on industry trends, regulatory changes, and relevant case law.
  • Provide risk management guidance and proactive solutions to mitigate legal risks associated with project development and financing.
  • Work closely with senior attorneys, partners, and clients to manage transaction-related due diligence.
  • Participate in business development activities and contribute to the firm's growth through client relationship management and networking.

Requirements:

  • 3-6 years of relevant experience in project development, M&A, financing transactions, debt finance, and renewable energy transactions.
  • Experience working in a major law firm or comparable legal environment.
  • Demonstrated ability to manage complex transactions and legal matters in a fast-paced, deadline-driven environment.
  • Strong problem-solving skills with a client-service orientation.
  • Excellent written and verbal communication skills.
  • Ability to work collaboratively with diverse teams and contribute to an inclusive workplace culture.

Education & Certifications:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Admission to the Texas State Bar or eligibility for admission through reciprocity.
  • Stellar academic credentials, with a strong emphasis on legal research and analytical skills.

Preferred Qualifications:

  • Significant experience with renewable energy transactions, including wind, solar, and other alternative energy projects.
  • Experience in handling complex financing structures, including project finance, debt restructuring, and capital markets transactions.
  • Familiarity with environmental regulations and energy sector legal frameworks.
