Job Overview

A law firm is seeking an experienced ECVC Associate Attorney to join its dynamic team in New York City. The ideal candidate will have a strong background in Emerging Companies and venture Capital (ECVC) law and extensive experience providing legal guidance to startups, growth companies, and venture capital investors. This role requires a highly motivated attorney who excels in a fast-paced, client-focused environment.

Key Responsibilities

  • Provide legal counsel and support to startups, emerging growth companies, and venture capital investors.
  • Draft, review, and negotiate a wide range of transactional documents, including term sheets, stock purchase agreements, convertible notes, and equity incentive plans.
  • Advise clients on corporate governance issues, including board meetings, corporate compliance, and fiduciary duties.
  • Manage all aspects of venture capital financing transactions, including due diligence, structuring, and closing processes.
  • Collaborate with cross-functional teams to support clients through the entire business lifecycle, from formation through exit.
  • Provide strategic advice on mergers and acquisitions, joint ventures, and other complex corporate transactions.
  • Stay updated on industry trends and regulatory developments impacting emerging companies and venture capital.
  • Mentor junior associates and contribute to the firm’s thought leadership through publications, speaking engagements, and client alerts.

Required Qualifications

  • Juris Doctor (JD) degree from an accredited law school.
  • Active bar membership in New York or eligibility to waive in.
  • 5-7 years of experience practicing law in Emerging Companies & Venture Capital.
  • Proven track record of handling venture capital financings, including preferred equity financings, convertible notes, and SAFEs.
  • Strong understanding of corporate law, securities law, and related regulations.
  • Exceptional drafting, negotiation, and communication skills.
  • Ability to work independently and manage multiple projects simultaneously.

Preferred Qualifications

  • Experience representing both venture capital firms and startup companies.
  • Background in technology, life sciences, or other high-growth industries.
  • Familiarity with both Series Seed and Series A/B financing rounds.

  • Excellent interpersonal skills with the ability to build and maintain client relationships.

  • Admission to the New York State Bar (required).
