Technology Transactions (IT) Senior Associate/Counsel

Job Overview:
A leading law firm is seeking a Senior Associate or Counsel with 7+ years of experience in Technology Transactions (IT) to join its growing team. This position involves working on a wide range of intellectual property (IP) and commercial transactions for technology companies. The ideal candidate will be responsible for structuring, drafting, and negotiating various agreements, and will also work on the IP aspects of mergers, acquisitions, public offerings, and other multidisciplinary transactions. Location:

Duties:

• Structure, draft, and negotiate a variety of intellectual property and commercial transactions, including:
  • Licensing agreements
  • Service agreements
  • Development agreements
  • Distribution agreements
  • Partnering agreements
• Advise on IP aspects of mergers, acquisitions, public offerings, and financings
• Collaborate with cross-functional teams and clients in the technology sector, from start-ups to established companies
• Contribute to the development of the national Technology Transactions practice group
• Mentor and train junior associates
• Build and grow an established, dynamic national practice group

Requirements:

• 7+ years of experience in technology transactions, with a focus on IP and commercial agreements
• Strong interest in working with technology companies across various stages of growth
• Experience in IP aspects of mergers, acquisitions, and public offerings
• Ability to work as part of a national team and mentor junior associates
• Technical or science background is beneficial, but not required
• Excellent drafting, negotiation, and communication skills
• Demonstrated ability to handle complex transactions independently and collaboratively
• Interest in a career focused on IP and commercial transactions
• Strong academic credentials

Education:

• Juris Doctor (JD) from an accredited law school

Certifications:

• Admission to the State Bar in the jurisdiction of employment
