Job Overview:
A nationally recognized law firm is seeking a Corporate Associate with 4–6 years of experience in public company advisory and capital markets transactions. The ideal candidate will provide counsel to public companies on regulatory compliance, governance, and securities offerings. This role offers the opportunity to work on cutting-edge matters in the technology and life sciences industries while advising clients on complex securities laws and exchange requirements.

Location:

  • Palo Alto, CA

Duties:

  • Advise public companies on:

    • SEC reporting compliance

    • Corporate governance and disclosure obligations

    • Nasdaq and NYSE listing rules and requirements

  • Represent issuers or underwriters in a variety of capital markets transactions:

    • Initial Public Offerings (IPOs)

    • Equity and debt offerings

    • PIPEs (Private Investments in Public Entities)

    • At-the-market offerings

  • Provide day-to-day legal support to public company clients

  • Support transactions involving innovative and high-growth companies, particularly in the technology and life sciences sectors

Requirements:

  • 4–6 years of experience in capital markets and public company legal advisory

  • Proven experience advising public companies and handling regulatory compliance matters

  • Transactional experience in securities offerings

  • Ability to manage complex legal matters and client needs efficiently

Education:

  • Juris Doctor (J.D.) degree from an accredited U.S. law school

Certifications:

  • Admission to at least one U.S. state bar

  • Must meet bar requirements for the office location

Skills:

  • In-depth knowledge of federal securities laws and corporate governance practices

  • Excellent drafting, analytical, and negotiation skills

  • Strong communication and client management capabilities

  • Ability to prioritize and handle multiple assignments under tight deadlines
