A law firm is seeking a detail-oriented and experienced Energy Transactions and Projects Associate Attorney to join their team in Houston, TX. The successful candidate will possess 3-5 years of substantial transactional experience in debt project finance and/or tax equity. This role involves negotiating, preparing, and reviewing complex credit agreements, intercreditor arrangements, and various project-related documents. Expertise in conducting due diligence and managing key project agreements is essential.

Key Responsibilities:

  • Negotiate, prepare, and review credit agreements, intercreditor arrangements, collateral documents, and other ancillary credit documents.
  • Handle tax equity transaction documents, including equity capital contribution agreements, membership interest purchase agreements, LLC agreements, and leases.
  • Conduct thorough due diligence on critical project agreements such as joint venture agreements, feedstock agreements, offtake agreements, EPC/EPCM contracts, O&M services agreements, transportation agreements, and commodity purchase and sale agreements.
  • Provide legal advice on structuring and documenting project finance transactions.
  • Draft and negotiate complex transaction documents related to energy projects.
  • Collaborate with clients and colleagues to develop and execute transaction strategies.
  • Ensure compliance with relevant legal and regulatory requirements in energy transactions.
  • Analyze and review project documents to identify and mitigate risks.
  • Advise clients on both legal and commercial aspects of energy projects and transactions.
  • Stay updated on industry trends, regulatory changes, and emerging issues in energy law.

Requirements:

  • 3-5 years of significant transactional experience in debt project finance and/or tax equity.
  • Proven expertise in negotiating and preparing credit agreements, intercreditor arrangements, and ancillary credit documents.
  • Extensive experience with tax equity transaction documents and related agreements.
  • Strong background in reviewing and conducting due diligence on key project agreements.
  • Excellent analytical, organizational, and communication skills.
  • Ability to manage complex transactions and provide strategic legal counsel.
  • Demonstrated knowledge of energy transactions and projects.

Education and Certifications:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to practice law in the state of Texas.

Skills:

  • Proficiency in drafting and negotiating complex transaction documents.
  • In-depth understanding of project finance and tax equity transactions.
