A law firm seeks a highly skilled Senior Associate or Junior Counsel for their Boston, MA office. This position will focus on executive compensation and benefits within Mergers and Acquisitions (M&A). The ideal candidate will bring substantial experience in drafting and negotiating executive employment agreements, equity incentive plans, and profits interest plans. This role offers strong opportunities for professional advancement, with the potential for promotion within 2-3 years based on performance and experience.

Duties:

  • Provide legal counsel on executive compensation and employee benefits aspects of M&A transactions.
  • Draft, negotiate, and review executive employment agreements and equity incentive plans.
  • Advise clients on the integration of compensation and benefits during M&A processes.
  • Ensure compliance with federal and state laws governing executive compensation.
  • Partner with other legal teams and offer strategic support throughout M&A activities.
  • Conduct due diligence related to executive compensation and benefits in M&A transactions.
  • Maintain strong relationships with clients by offering practical, effective solutions to complex compensation issues.

Requirements:

  • Proven experience in executive compensation, benefits, and M&A transactions.
  • Expertise in drafting executive employment agreements and equity incentive plans.
  • In-depth knowledge of compensation-related regulations and tax laws.
  • Excellent verbal and written communication skills.
  • Strong ability to manage multiple projects and meet deadlines under pressure.
  • Collaborative mindset, working effectively with cross-functional teams.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Active bar membership in a U.S. jurisdiction (preferably in Massachusetts).

Skills:

  • Expertise in M&A compensation and benefits structures.
  • Strong drafting, negotiation, and analytical abilities.
  • Ability to navigate complex legal issues and provide sound, strategic advice.
  • Client-focused with an ability to build and sustain lasting professional relationships.
