Location:

  • New York, NY

Duties:

  • Work on the formation of various private funds, including private equity, private credit, real estate, infrastructure, hybrid, and evergreen funds.
  • Draft and negotiate fund documentation, including partnership agreements, offering memorandums, and side letters.
  • Advise clients on U.S. regulatory requirements governing private funds and ensure compliance.
  • Manage complex fund formations and assist with fund launches for institutional and emerging managers.
  • Participate in negotiating seed deals and assist in investor-side representation.
  • Provide strategic advice to clients on the structuring of private funds, addressing legal and regulatory issues.

Requirements:

  • Experience in private fund formation, with a focus on private equity, private credit, real estate, or other related fund types.
  • A strong understanding of the U.S. regulatory framework for private funds.
  • Proven experience in negotiating fund terms and handling complex fund structures.
  • Prior experience with seed deals and investor-side representation is advantageous, especially involving sovereign wealth funds.
  • Ability to work independently, manage multiple projects, and collaborate within a team-oriented environment.

Education:

  • Juris Doctor (J.D.) degree from an accredited law school.

Certifications:

  • Active membership in the Bar of the state.

Skills:

  • Strong academic background with exceptional legal research and writing skills.
  • In-depth knowledge of private fund formation, especially in private equity, private credit, and related areas.
  • Expertise in negotiating fund terms and working with clients on complex fund matters.
  • Familiarity with regulatory requirements and compliance for private funds.
  • Ability to take on increasing responsibility and work on high-profile client matters.
  • Prior experience with investor-side representation is beneficial but not required.
