Job Overview:
A law firm located in San Diego, CA, is seeking an experienced Senior Securities Attorney to join its dynamic team. The ideal candidate will possess a deep understanding of securities law and provide high-level counsel to clients in areas such as private placements, fund formations, and other investment-related matters. This role requires a proven leader with strong business development skills, exceptional client relationship management, and the ability to lead a team of legal professionals.

Duties:

• Lead and manage complex securities transactions, including private placements, fund formations, and investment-related agreements.
• Advise clients, including broker-dealers, Registered Investment Advisers (RIAs), and private funds, on compliance with federal and state securities regulations, such as the Securities Act of 1933, the Securities Exchange Act of 1934, and the Investment Advisers Act of 1940.
• Mentor and guide junior attorneys while collaborating with cross-functional teams to support the firm's securities services.
• Foster and expand client relationships through networking, thought leadership and active community involvement to grow the firm’s securities client base.
• Draft, review, and negotiate offering documents, subscription agreements, regulatory filings, and compliance programs.

Requirements:

• Minimum of 12 years of securities transactional experience, focusing on broker-dealers, RIAs, and private fund clients.
• In-depth knowledge of federal and state securities laws, SEC and FINRA regulations, corporate law, and strategic advisory matters.
• Proven track record of leadership, with the ability to manage high-stakes matters simultaneously.
• Strong client service orientation with a demonstrated ability to build and maintain client relationships.
• Experience managing a legal team or practice group is highly desirable.

Education:

• Juris Doctor (JD) from an accredited law school (Required).

Certifications:

• Active membership in good standing with the California State Bar.
• Admission to additional jurisdictions is a plus.
