A law firm in New York City is seeking an M&A and Private Equity Associate Attorney to join its team. The ideal candidate will have 4+ years of experience in mergers and acquisitions, private equity, and leveraged buyout transactions. The role involves drafting and negotiating acquisition agreements, supervising and training junior associates, and coordinating with legal specialists working on deal teams. Admission to practice in New York is required.

Duties:

• Draft and negotiate acquisition agreements, including asset and stock purchase agreements, merger agreements, and related documentation.
• Manage and oversee the due diligence process for M&A transactions, ensuring thorough and accurate review of all relevant documents.
• Supervise and mentor junior associates and paralegals, providing guidance and support in their professional development.
• Coordinate with legal specialists, such as tax advisors, regulatory experts, and finance professionals, to ensure comprehensive deal execution.
• Develop and implement strategic approaches to complex M&A and private equity transactions.
• Assist clients with structuring and negotiating private equity investments, leveraged buyouts, and related transactions.
• Conduct legal research and analysis to support transaction strategies and address legal issues.
• Collaborate with internal teams and external stakeholders, including clients, opposing counsel, and regulatory bodies.
• Stay informed on current trends and developments in M&A, private equity, and corporate law.

Requirements:

• 4+ years of experience in M&A and private equity transactions, with a strong background in leveraged buyouts.
• Proven experience drafting and negotiating complex acquisition agreements.
• Experience supervising and training junior associates and working with legal specialists.
• Admission to practice law in New York.

Education:

• Juris Doctor (JD) degree from an accredited law school.

Certifications:

• Admission to the New York State Bar.
