Duties:

  • Draft and negotiate acquisition agreements, including asset and stock purchase agreements, merger agreements, and related documentation.
  • Manage and oversee the due diligence process for M&A transactions, ensuring thorough and accurate review of all relevant documents.
  • Supervise and mentor junior associates and paralegals, providing guidance and support in their professional development.
  • Coordinate with legal specialists, such as tax advisors, regulatory experts, and finance professionals, to ensure comprehensive deal execution.
  • Develop and implement strategic approaches to complex M&A and private equity transactions.
  • Assist clients with structuring and negotiating private equity investments, leveraged buyouts, and related transactions.
  • Conduct legal research and analysis to support transaction strategies and address legal issues.
  • Collaborate with internal teams and external stakeholders, including clients, opposing counsel, and regulatory bodies.
  • Stay informed on current trends and developments in M&A, private equity, and corporate law.

Requirements:

  • 4+ years of experience in M&A and private equity transactions, with a strong background in leveraged buyouts.
  • Proven experience drafting and negotiating complex acquisition agreements.
  • Experience supervising and training junior associates and working with legal specialists.
  • Admission to practice law in New York.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Admission to the New York State Bar.
