A law firm seeks an experienced M&A Counsel or Shareholder to join its growing national private equity and Mergers & Acquisitions (M&A) practice. This is a rare opportunity for a highly motivated attorney with a strong background in private equity transactions to work on complex and high-profile deals while contributing to a collaborative team. The ideal candidate will have a minimum of 7 years of experience in M&A, with a focus on private equity, and will be driven to further develop their practice within a well-established and team-oriented environment.

Duties

  • Lead and manage private equity M&A transactions, offering strategic legal counsel throughout all stages of the deal process.
  • Collaborate with clients and internal teams to structure, negotiate, and execute private equity transactions.
  • Provide detailed legal advice on complex business matters related to mergers, acquisitions, and corporate reorganizations.
  • Assist clients with legal due diligence and deal documentation, including drafting agreements, term sheets, and other transaction-related documents.
  • Maintain and strengthen client relationships through direct interactions and providing high-quality service.
  • Contribute to business development efforts by identifying new opportunities and expanding the firm’s M&A practice.
  • Stay updated on legal trends and best practices in private equity and M&A law.

Requirements

  • At least 7 years of experience in Mergers & Acquisitions with a focus on private equity.
  • Proven experience working in a private practice environment with an emphasis on M&A transactions.
  • Ability to manage multiple projects and transactions simultaneously, while meeting tight deadlines.
  • Strong interpersonal and communication skills, capable of interacting with clients and stakeholders effectively.
  • A strong academic record with excellent analytical and problem-solving abilities.
  • Desire to work in a team-first, collaborative atmosphere and contribute to the success of the practice.

Education

  • Juris Doctor (J.D.) from an ABA-accredited law school.

Certifications

  • Active attorney license in at least one U.S. jurisdiction is required.
  • Ability to be admitted to practice in Wisconsin, Iowa, or Minnesota in a timely manner.
