Location:

Duties:

  • Lead and support on complex M&A transactions, from drafting and negotiating agreements to structuring deals.
  • Advise clients on all aspects of corporate governance, mergers, acquisitions, and corporate law.
  • Conduct due diligence and provide strategic recommendations to clients on the risks and benefits of transactions.
  • Draft and review key transaction documents, including purchase agreements, shareholder agreements, and financing arrangements.
  • Collaborate with clients, senior attorneys, and other stakeholders to ensure the successful execution of transactions.
  • Develop and maintain client relationships and contribute to business development efforts.
  • Handle legal research and provide insight into evolving M&A law and trends.

Requirements:

  • 3-5 years of experience in mergers and acquisitions at a leading corporate law firm or equivalent.
  • Active member of the bar in the jurisdiction where the candidate will work, or eligible to sit/waive into the next bar exam.
  • Strong experience with negotiating and structuring M&A deals, including due diligence and integration issues.
  • Excellent academic credentials and strong written, oral, and interpersonal communication skills.
  • Demonstrated interest or experience in working with technology or life sciences companies.
  • Ability to work independently and collaboratively in a fast-paced, high-pressure environment.
  • Strong attention to detail and excellent problem-solving abilities.

Education:

  • J.D. from an accredited law school.

Certifications:

  • Active bar membership in the jurisdiction where the candidate will work, or eligibility to sit/waive into the next bar exam.

Skills:

  • Expertise in mergers and acquisitions, corporate governance, and related corporate law matters.
  • Proficiency in drafting and negotiating complex legal documents.
  • Strong due diligence and risk analysis skills.
  • Excellent written and oral communication skills.
