Managing or Senior VC Fund Formation Associate

Job Overview
A premier law firm is seeking a highly motivated Managing or Senior Associate with 4–7 years of experience in private fund formation. This role will involve working closely with some of the most innovative venture capital and growth equity fund managers. The selected candidate will contribute to shaping investment strategies across the innovation ecosystem, advising on fund formation, regulatory compliance, and capital deployment.

Duties

• Advise venture capital and growth equity fund sponsors on fund formation and regulatory issues.

• Support clients from multi-billion-dollar funds to emerging managers.

• Work alongside a top-tier legal team serving the emerging companies and venture capital ecosystem.

• Manage fund-side legal matters and ensure compliance with regulatory standards.

• Draft and negotiate fund documents and related agreements.

• Serve as a key liaison between legal and business stakeholders.

Requirements

• 4–7 years of focused experience in private fund formation and investment management.

• Prior experience representing venture capital and/or growth equity funds is strongly preferred.

• Must hold active Bar membership in the state where practice will occur.

• Strong academic record from an accredited law school.

• Demonstrated ability to manage complex projects and client relationships.

Education

• Juris Doctor (J.D.) from an accredited law school.

Certifications

• Admission to a State Bar and in good standing in the relevant practicing jurisdiction.

Substantial billable hours is the primary way to get the big bucks and partnership consideration at this large New York firm. With West Coast roots, but not attitude, these New York lawyers work hard. Competitive and fast-paced, this firm excels across practice areas, but is doing some particularly interesting VC work. Although a type A environment to be sure, the atmosphere is still friendly, albeit without a lot of casual partner/associate interaction. Partner/associate relationships are strong in professional terms, however, with excellent marks for training and a fairly regimented associate development program.
